1. Acceptance of terms
By creating a Haze Clips account or using our services (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Service. “Haze Clips”, “we”, and “us” refer to Haze Tech Solutions LLC, a Florida limited liability company operating hazeclips.com.
2. Account creation
You must provide accurate information and keep it current. You are responsible for activity that occurs under your account, including actions taken by anyone you authorize. You must be at least 13 years old (16 in the EU) to use the Service.
3. Acceptable use
You agree not to:
- Upload content you do not have the right to use.
- Generate or distribute material that is illegal, defamatory, harassing, hateful, or sexually explicit involving minors.
- Attempt to reverse-engineer, scrape, or overload the Service.
- Resell or relabel the Service without an express written agreement with us.
4. Your content
You retain all rights to videos and other materials you upload (“User Content”). You grant us a limited, worldwide, non-exclusive license to host, transcode, transcribe, analyze, and render User Content solely as needed to provide the Service to you. We do not use your User Content to train AI models.
5. AI-generated content
The Service uses third-party AI providers to generate images, captions, clip rankings, music, and transcripts (collectively, “AI Output”). AI Output may be inaccurate, biased, or replicate copyrighted material. You are responsible for reviewing AI Output before publication. AI-generated background music is delivered to you royalty-free for commercial use.
6. Subscriptions, billing, and refunds
Paid plans (Pro, Studio) renew automatically each month via Stripe. By upgrading you authorize recurring charges to your payment method at the then-current subscription price. We will notify you by email at least 7 days before any price increase takes effect, and you may cancel before the change to avoid being charged at the new price.
You may cancel at any time through the Stripe customer portal; cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for partial months unless required by law (including the California Automatic Renewal Law and EU consumer-protection statutes where applicable). Refund requests within seven (7) days of an initial paid subscription may be honored at our discretion when submitted to mail@hazeclips.com.
7. DMCA / copyright
If you believe content on Haze Clips infringes your copyright, send a written notice to mail@hazeclips.com with the information required by 17 U.S.C. §512(c)(3). We will remove materials in accordance with the DMCA and may terminate accounts of repeat infringers.
8. Your indemnification of us
You agree to defend, indemnify, and hold harmless Haze Tech Solutions LLC, its officers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) any claim that your User Content caused damage to a third party; or (e) any AI Output you published to third-party platforms.
This defense and indemnification obligation will survive these Terms and your use of the Service.
9. Termination
You may delete your account at any time. We may suspend or terminate accounts that violate these Terms. On termination, we will delete your User Content within 30 days, subject to legal retention obligations.
10. Disclaimers and limitation of liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI Output will be accurate or fit for any particular purpose.
To the fullest extent permitted by law, our aggregate liability arising from or relating to the Service is limited to the greater of (a) US$100 or (b) the amount you paid us in the 12 months preceding the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
11. Arbitration and class-action waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Except for disputes in which either party seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and Haze Tech Solutions LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (each, a “Dispute”) through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be held in Miami-Dade County, Florida, or, at your request, in your county of residence. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Class-action waiver.You and Haze Tech Solutions LLC each waive any right to bring or participate in any class, collective, or representative action against the other. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
You may opt out of this arbitration and class-action waiver provision by sending written notice of your decision to opt out to mail@hazeclips.com within 30 days of first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to the arbitration section above, any judicial proceeding (including any action for injunctive or equitable relief) will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and the parties consent to the personal jurisdiction of those courts.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date means you accept the new Terms.
